We have unrivalled knowledge of regulations and closely monitor the precedents and policies of the authorities, which is critically important to structuring transactions and processes.

We are widely experienced in coordinating regulatory aspects in foreign jurisdictions, including in the United States and EU countries.  This includes the passporting of Danish prospectuses into foreign jurisdictions. We are market leaders in Danish transactions aimed at American investors and standardsetting in the handling of the special aspects involved in foreign offerings.

Recent years have seen a growing number of legal disputes between Danish authorities and listed companies. We were involved in a series of high-profile cases many of which have set important precedents in the capital markets area.

By way of example, we handled the case before the Danish Commercial Board of Appeals in 2007-2008 which in the autumn of 2008 led to a fundamental change in the understanding of listed companies’ duty of disclosure through an overruling of the Danish Financial Supervisory Authority’s interpretation of Danish disclosure rules.
