A business transfer is an opportunity for great profit and a risk of heavy losses. The best way of hedging risks is to obtain detailed knowledge of the business beforehand. It is important, therefore, to conduct investigations of the target business - due diligence investigations - on behalf of the buyer or the seller.
Our expertise
Kromann Reumert's M&A group organises due diligence investigations on the basis of our specific knowledge of the business and our extensive general experience from previous investigations and processes. An important objective is to prevent problems or disputes between the parties after the transfer which may result in lengthy and expensive legal proceedings.
We assist i.a. in:
- reviewing relevant business documents
- interviewing members of the executive board and other corporate officers
- searching public registers
- reporting to the client, etc.
- making sure that the results of the investigations are reflected in the business transfer agreement
- following up on investigations after completion of the transfer.
